Terms of Service

1. Purpose of the Service

PlanMyRounds is an administrative scheduling platform designed to assist with duty rosters, availability tracking, and related coordination tasks.

The Service does not provide medical advice and does not support clinical decision-making.

2. Eligibility

You must:

• Be at least 18 years old
• Be authorized to use the Service on behalf of yourself or your organization

3. User Responsibilities

You agree to:

• Provide accurate and up-to-date information
• Use the Service only for lawful and administrative purposes
• Maintain the confidentiality of your login credentials

You must not:

• Upload false or misleading information
• Attempt to gain unauthorized access
• Use the Service to manage or store patient medical data

Where your organization enables an integration between the Service and an EMR or other internal system, that integration is limited to pushing or pulling duty, shift, and roster data. It does not read, access, or process clinical or patient data, and you must not configure or use it in a way that transmits clinical or patient data to the Service.

4. Non-Clinical Disclaimer

PlanMyRounds:

• Does not diagnose, treat, or monitor medical conditions
• Does not replace professional medical judgment
• Is intended solely for scheduling and administrative coordination

5. Duty-Hour and Regulatory Compliance

PlanMyRounds is a scheduling tool. It does not independently verify or guarantee compliance with duty-hour limits, rest-period requirements, labor regulations, accreditation standards, or any other regulatory obligation applicable to your institution (for example, resident or staff duty-hour rules). Configuring the Service to reflect such rules, and ensuring rosters comply with them, remains the sole responsibility of your organization. PlanMyRounds is not liable for regulatory non-compliance, disciplinary action, or accreditation issues arising from schedules created using the Service.

6. Customer Data and Ownership

As between you and PlanMyRounds, your organization retains ownership of the scheduling, availability, and administrative data it enters into the Service ("Customer Data"). You grant PlanMyRounds a limited license to host, process, and display Customer Data solely to provide the Service. Individual users (such as doctors) who enter availability or preference data do so as part of their organization's account; disputes over data access between an organization and its members are the organization's responsibility to resolve, though we will cooperate with reasonable, verifiable requests.

Upon account termination, Customer Data is handled in accordance with our Privacy Policy, including applicable retention and deletion timelines.

7. Fees and Billing

Paid plans are billed in accordance with the pricing and billing cycle (monthly or annual) selected at signup or in your order form.

• Fees are due in advance of each billing period and are non-refundable except where required by law or expressly stated otherwise.
• Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. We will provide reasonable advance notice before an automatic renewal where required by applicable law.
• We may change pricing for future billing periods with prior notice; continued use after a price change takes effect constitutes acceptance.
• You are responsible for any taxes applicable to your subscription, other than taxes on our net income.
• Where we advertise a plan as having "no contracts," this means there is no long-term commitment or lock-in period, and you can start immediately without a sales process. It does not mean these Terms do not apply. Enterprise or Health System customers may separately negotiate a custom order form or agreement, which will govern over these Terms to the extent of any conflict for that customer.

8. Intellectual Property

All content, software, and trademarks associated with PlanMyRounds are owned by or licensed to us. You may not copy, modify, or distribute them without permission. Nothing in these Terms transfers any PlanMyRounds intellectual property to you or your organization, other than the limited right to use the Service as intended.

9. Confidentiality

Each party may have access to the other's non-public business, technical, or organizational information in connection with the Service. Each party agrees to use the other's confidential information only as necessary to perform under these Terms and to protect it with the same degree of care it uses for its own confidential information, and no less than reasonable care.

10. Account Suspension or Termination

We may suspend or terminate access if:

• These Terms are violated
• The Service is misused
• Required by law

Users may terminate their account at any time by requesting deletion. Upon termination, your right to use the Service ends immediately; provisions that by their nature should survive (including Sections 6, 9, 11, 12, and 14) will survive termination.

11. Warranty Disclaimer

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or fully secure.

12. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill
• We are not responsible for scheduling decisions made using the Service, or for regulatory or compliance outcomes as described in Section 5
• Our total liability arising out of or relating to these Terms or the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim

Nothing in this section limits liability that cannot be limited under applicable law.

13. Indemnification

You agree to indemnify and hold PlanMyRounds harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your misuse of the Service, violation of these Terms, or violation of applicable law, including any claim arising from patient information entered into the Service in breach of Section 3.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of India, unless otherwise required by applicable regulations in your jurisdiction. Subject to applicable consumer-protection law that cannot be contractually waived, the courts located in Bengaluru, Karnataka, India will have exclusive jurisdiction over any dispute arising from these Terms or the Service.

15. Force Majeure

We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, internet or infrastructure outages, government action, or acts of third-party service providers.

16. Changes to These Terms

We may update these Terms periodically. Where changes are material, we will provide reasonable advance notice (such as by email or in-app notice). Continued use after updates take effect constitutes acceptance.

17. General

• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
• Assignment: You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Entire Agreement: These Terms, together with our Privacy Policy and any signed order form or Data Processing Agreement, constitute the entire agreement between you and PlanMyRounds regarding the Service.
